Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, APIs, and services (collectively, the "Service") provided by Laivc Inc. ("LAIVC", "we", "us"), a company incorporated in the United States. By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. The Service

LAIVC provides an AI gateway platform: a unified API and management layer that routes requests from your applications to third-party AI model providers, together with governance, observability, and compliance tooling. The Service does not itself provide AI models; you connect your own accounts with third-party model providers, whose own terms apply to your use of their models.

2. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account and for safeguarding your credentials and API keys. You must be at least 18 years old and, if acting for an organization, have authority to bind it to these Terms.

3. Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation, or the rights of any third party;
• violate the acceptable-use policies of the upstream model providers you connect;
• transmit malware, or attempt to probe, disrupt, or gain unauthorized access to the Service or its infrastructure;
• resell or provide access to the Service to third parties except as expressly permitted by your plan;
• circumvent usage limits, metering, or security controls.

We may suspend or terminate accounts engaged in prohibited use.

4. Fees and Billing

Paid plans are billed monthly in advance in US dollars, at the prices published on our pricing page, plus any metered overage billed in arrears. Payments are processed by our payment processor (Stripe). Prices may change with at least 30 days' notice; changes take effect at your next billing cycle. Taxes are your responsibility where applicable. Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. Customer Data

You retain all rights to the data you submit through the Service, including prompts, completions, configurations, and logs ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Service as described in our Privacy Policy. We do not use Customer Data to train AI models. You are responsible for having the necessary rights and consents for the data you submit, and for configuring the Service's guardrail and residency features appropriately for your obligations.

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by Laivc Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without obligation.

7. Third-Party Services

The Service interoperates with third-party model providers and other services. We are not responsible for their availability, output, pricing, or terms. Model outputs are generated by third-party systems and may be inaccurate; you are responsible for reviewing outputs before relying on them.

8. Availability and Support

We aim for high availability but do not guarantee uninterrupted operation except where an Enterprise service-level agreement expressly provides otherwise. Support channels and response targets depend on your plan.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPLIANCE FEATURES ASSIST YOUR COMPLIANCE PROGRAMS BUT DO NOT CONSTITUTE LEGAL ADVICE OR A GUARANTEE OF REGULATORY COMPLIANCE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAIVC INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel at any time as described in the Refund & Cancellation Policy. We may suspend or terminate the Service for material breach of these Terms, with notice where practicable. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 5, 6, 9, 10, and 12) survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes informally by contacting support@laivc.com; failing that, disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on this page at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
